CORPORATE MANAGEMENT

- The companies of the CMPC Group are governed by the Chilean Law 18,046 on Corporations and its Regulations, and by the regulations of the Superintendency of Securities and Insurance of the country. - The company is managed by a Board of Directors composed of nine members, who are elected at a General Meeting and remain in the position for three years. - The Board of Directors meets monthly to evaluate and decide the company's development in economic, social and environmental matters.

- Shareholders can present their views on the progress of the company in ordinary and extraordinary meetings legally cited.
- All decisions taken by the Board that affect corporate interests or any material fact are communicated to regulatory authorities, stock exchanges and the general public. Home - The CMPC financial statements are reviewed and audited by independent professionals appointed by the Board of Directors and disclosed to the supervisory authority and to the general public. Home - The CMPC is subject to the supervision of several authorities and regulators in the different countries where it operates.

- The specificities of the Brazilian context are duly known, evaluated and administered by the CMPC governing body.

CODE OF ETHICS AND CONDUCT

CMPC has documented the ethical and posture standards that the company expects from its employees and outsourced employees. Created in 2004, it has been incorporated into the culture of the CMPC Group and is subject to systematic reviews. The text guides ethics in personal and professional relationships, inside and outside the company. In order to analyze, discuss and indicate the measures that should be taken in possible violations of the Code, a Committee is formed by members of specific areas and triggered whenever necessary.
